Conduvit is a data integration application operated by Resilien LLC ("Resilien", "we", "us"). This Privacy Policy describes how we collect, use, store, protect, share, and delete personal and business data obtained through your use of Conduvit and through our integration with the Amazon Selling Partner API (SP-API).

We do not sell, rent, or share your data with third parties for marketing or advertising purposes.
Amazon Information accessed through SP-API is used solely for the purposes authorized by you and consistent with Amazon's Acceptable Use Policy and Data Protection Policy. We do not combine Amazon Information with data from external non-Amazon sources. Amazon customer personally identifiable information (PII) is handled in strict accordance with Amazon's DPP, including retention limits of no longer than 30 days after order delivery unless required by law.
All data is stored on Google Cloud Platform (GCP) infrastructure, which holds SOC 2 Type II and ISO 27001 certifications. Data is encrypted at rest using AES-256 and in transit using TLS 1.2 or higher. Access is governed by GCP IAM with least-privilege principles. Credentials are stored in GCP Secret Manager and are never hardcoded.
We retain your account data for as long as your subscription is active and for a reasonable period thereafter as required by law or legitimate business need. Amazon seller data is retained per your subscription plan terms. You may request deletion of your data at any time by contacting us at systems@resilien.com.

In the event of a security incident affecting Amazon data, we will notify Amazon at 3p-security@amazon.com within 24 hours of detection, in compliance with Amazon's Data Protection Policy. We will notify affected users as required by applicable law.
We may update this Privacy Policy from time to time. Changes will be posted on this page with an updated date. Continued use of Conduvit after changes constitutes acceptance of the revised policy.

These Terms of Service ("Terms") are an agreement between Resilien LLC ("Resilien", "we", "us") and the business or person ("you", "Customer") using Conduvit, our data integration platform (the "Service"). By creating an account, connecting a platform account, or otherwise using the Service, you accept these Terms. If you use the Service on behalf of a company, you represent that you are authorized to bind that company.
Conduvit ingests data from third-party platforms you authorize — including Amazon Selling Partner API (SP-API) and Intuit QuickBooks Online — normalizes it, and makes it available to you as structured datasets and reporting. The Service is provided on a subscription basis under the plan and scope agreed in your order or quote.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription term. We retain all rights, title, and interest in the Service, its software, and its documentation. You may not resell, sublicense, copy, modify, reverse engineer, or build a competing product from the Service.
The Service operates on data you authorize through each platform's official authorization flow (for example, Amazon's Login with Amazon and Intuit's OAuth consent). You may revoke a connection at any time from within the Service or from the platform's own settings. You are responsible for maintaining the platform accounts you connect and for ensuring your use of connected data complies with each platform's terms, including Amazon's Acceptable Use Policy and Data Protection Policy and Intuit's terms of service. We never ask for, receive, or store your platform passwords.
You own your data. Data retrieved from your connected accounts and data you provide to us remain yours; we process them solely to deliver the Service, as described in our Privacy Policy. On termination, we will delete or return your data as described in the Privacy Policy, subject to legal retention requirements.

Fees are set out in your quote or order and billed monthly in advance unless agreed otherwise. Fees are non-refundable except as required by law or expressly agreed. We may suspend the Service for accounts more than 30 days past due, after notice. Prices for renewal terms may change with at least 30 days' notice.
We target the service levels described in your plan, but the Service depends on third-party platforms and infrastructure (including the Amazon SP-API, Intuit APIs, and Google Cloud Platform), and we do not guarantee uninterrupted or error-free operation. Scheduled maintenance and third-party outages may affect data freshness.
Each party will protect the other's non-public information with at least the care it uses for its own confidential information, use it only as needed to perform under these Terms, and not disclose it except to personnel and processors bound by equivalent obligations, or as required by law.
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Data presented by the Service is derived from your connected platforms; you are responsible for verifying it before relying on it for financial, tax, or legal decisions.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability under these Terms is limited to the fees you paid for the Service in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms limits liability for willful misconduct or fraud.
You may cancel your subscription at any time effective at the end of the current billing period. Either party may terminate for material breach not cured within 30 days of written notice. On termination, your access ends and data handling follows Section 5 and the Privacy Policy.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. The parties will first attempt in good faith to resolve any dispute informally; venue for unresolved disputes lies in the state and federal courts located in Seminole County, Florida.
We may update these Terms from time to time. Changes will be posted on this page with an updated date; material changes will be notified to active customers. Continued use of the Service after changes take effect constitutes acceptance.
